1. Acceptance of terms
Welcome to PTAS AI, a product and brand operated by Pritasha Solutions Private Limited (“Company”, “PTAS AI”, “we”, “us”, or “our”), a company incorporated under the Companies Act, 2013 and operating in accordance with Indian laws.
These Terms & Conditions (“Terms”) govern your access to and use of our website, AI platforms, software solutions, consulting services, and related offerings (collectively, the "Services").
By accessing our website, requesting demos, entering into a service agreement, or using any PTAS AI Services, you (“Client”, “User”, “you”, or “your”) acknowledge that you have read, understood, and agreed to these Terms.
2. Description of Services
PTAS AI provides AI-driven, data-centric, and enterprise technology services, including but not limited to:
- AI & Automation: OCR, Document AI, LLM workflows, finance automation
- Software Development: Web, enterprise, cloud-native applications
- Data Analytics & ML: BI, data engineering, predictive analytics
- IT Consulting: AI strategy, system architecture, digital transformation
- Support & QA: Maintenance, testing, optimization
3. Service Delivery
All Services are delivered as per individual Service Agreements, Statements of Work (SOWs), or commercial proposals executed between the Client and the Company. These documents shall define scope, timelines, deliverables, and commercial terms.
3. User Obligations
3.1 Accurate Information
You agree to:
- Provide accurate, complete, and current information
- Promptly notify us of changes to requirements or contact details
- Ensure that information shared does not infringe third-party rights
3.2 Cooperation
You agree to:
- Provide timely feedback, approvals, and decisions
- Participate in project reviews and testing cycles
- Provide necessary access to systems, data, and stakeholders
- Delays caused by lack of cooperation may impact timelines and costs.
3.2 Compliance
You shall:
- Comply with all applicable Indian and international laws
- Not use Services for unlawful, harmful, or unauthorized purposes
- Not misuse, reverse-engineer, or attempt to exploit AI models or systems
4. Intellectual Property Rights
4.1 Company Intellectual Property
All intellectual property owned or developed by Pritasha Solutions Private Limited, including but not limited to:
- AI models, workflows, prompts, pipelines
- Frameworks, accelerators, tools, and methodologies
- Website content, branding, UI/UX, documentation
shall remain the exclusive property of the Company unless otherwise agreed in writing.
4.2 Client Intellectual Property
All pre-existing intellectual property, data, documents, and systems provided by the Client remain the Client's exclusive property.
4.3 Deliverables
Unless otherwise specified in the SOW:
- Custom deliverables developed specifically for the Client become Client property upon full payment
- Reusable components, libraries, and internal frameworks remain Company IP
- Source code ownership and licensing will be clearly defined per engagement
4.4 Third-Party Components
Services may include third-party tools or software governed by their respective licenses. The Client agrees to comply with such licenses.
5. Payment Terms
5.1 Pricing & Invoicing
- Fees are defined in individual agreements or SOWs
- Invoices may be milestone-based or periodic
- All fees are exclusive of applicable taxes unless stated otherwise
5.2 Payment Timeline
- Payments are due within 30 days of invoice date unless agreed otherwise
- Late payments may attract interest up to 1.5% per month or the maximum permitted by law
- We reserve the right to suspend Services for overdue payments
5.3 Reimbursable Expenses
Clients shall reimburse approved expenses including:
- Third-party software licenses
- Cloud or infrastructure costs
- Approved travel or on-site engagement expenses
6. Confidentiality
6.1 Mutual Confidentiality
Both parties agree to:
- Keep confidential information secure and undisclosed
- Use confidential information solely for service delivery
- Not disclose such information without prior written consent
6.2 Data Security
We implement reasonable and industry-standard safeguards including:
- Access controls and encryption
- Secure infrastructure and monitoring
- Confidentiality obligations for employees and contractors
Data Protection Compliance
We comply with applicable data protection regulations including GDPR, CCPA, and Indian data protection laws. Please refer to our Privacy Policy for detailed information on data handling practices.

7. Limitation of Liability
7.1 Service Disclaimer
- AI outputs are probabilistic and may vary
- No guarantee of specific business or regulatory outcomes
- Services are provided "as is" unless otherwise agreed
7.2 Limitation of Damages
To the maximum extent permitted under Indian law:
- Total liability shall not exceed fees paid in the preceding 12 months
- We are not liable for indirect, incidental, or consequential damages
- No liability for loss of profits, data, or business interruption
7.3 Force Majeure
Neither party shall be liable for delays or failures due to events beyond reasonable control.
8. Termination
8.1 Termination for Convenience
Either party may terminate with 30 days' written notice. Upon termination:
- Client pays for completed work
- Company delivers completed deliverables
- Confidential information is returned or destroyed
8.2 Termination for Cause
Immediate termination is permitted for material breach not cured within 15 days of notice.
8.3 Survival
Confidentiality, IP rights, payment obligations, and liability clauses survive termination.
9. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of India.
Dispute Resolution
Disputes shall be resolved through:
- Good-faith negotiation
- Mediation (if mutually agreed)
- Arbitration under the Arbitration and Conciliation Act, 2015
- Litigation in the courts of Haryana as a last resort
10. Modifications to Terms
We may update these Terms periodically. Updated Terms will be effective upon posting on our website.
Continued use of Services constitutes acceptance of revised Terms.
In case of conflict, individual agreements or SOWs shall prevail.
